1. Introduction and Acceptance of Terms

These Terms of Service ("Terms," "Agreement," or "ToS") constitute a legally binding agreement between you ("User," "you," or "your") and Gatim AI Tech Innovations Private Limited ("Company," "we," "us," or "our"), governing your access to and use of the website located at www.gatiai.com (the "Website"), including all content, functionality, and services offered on or through the Website.

BY ACCESSING OR USING THE WEBSITE, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE WEBSITE.

These Terms apply solely to the Website, including our demo request system and career portal. Separate terms and conditions govern the use of our platforms operated at gatim.ai (AI Legal Assistant Platform) and dashboard.gatim.ai (Practice Management Platform). Access to and use of such platforms are subject to execution of separate service agreements.

2. Definitions

For purposes of these Terms, the following definitions shall apply:

• "Service" means the Website, including the demo request system, career portal, informational content, and all associated functionality.
• "Platforms" means the software applications operated by the Company at gatim.ai (AI Legal Assistant) and dashboard.gatim.ai (Practice Management), which are subject to separate agreements.
• "Company" means Gatim AI Tech Innovations Private Limited, a company organized and existing under the laws of India.
• "User," "you," or "your" means any individual or entity that accesses or uses the Service.
• "Personal Information" has the meaning set forth in our Privacy Policy.
• "Content" means all text, graphics, images, logos, button icons, software, data compilations, and other materials available on the Website.

3. Eligibility

The Service is intended for use by individuals who are at least eighteen (18) years of age or the age of legal majority in their jurisdiction, whichever is greater. By using the Service, you represent and warrant that:

The Company reserves the right to deny access to the Service to any User, in its sole discretion, who does not meet these eligibility requirements.

• Demo Request System: A mechanism for prospective customers to submit inquiries and request product demonstrations. Submission of a demo request does not create a binding obligation on either party.
• Career Portal: A platform for posting employment opportunities and accepting job applications. Submission of a job application does not guarantee employment or create an employment relationship.

Important: The Website itself does not provide legal services, legal advice, or access to the AI platforms. Access to the Platforms (gatim.ai and dashboard.gatim.ai) requires execution of separate service agreements and is governed by separate terms and conditions.

5. User Responsibilities and Prohibited Uses

5.1 Accurate Information

You agree to provide accurate, current, and complete information when submitting demo requests or job applications. You represent and warrant that all information provided is truthful and does not infringe upon the rights of any third party.

5.2 Legitimate Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree:

• Demo requests must constitute legitimate business inquiries;
• Job applications must be submitted in good faith and represent your genuine interest in employment;
• Resumes and other application materials must be your own work and accurately represent your qualifications.

5.3 Prohibited Conduct

You shall not engage in any of the following prohibited activities:

• Submitting spam, unsolicited communications, or bulk requests;
• Providing fraudulent, false, or misleading information;
• Engaging in any malicious activity, including but not limited to hacking, denial-of-service attacks, or distribution of malware;
• Using automated systems, bots, or scripts to access the Service (except for legitimate search engine crawlers);
• Attempting to circumvent rate limiting or security measures;
• Harvesting or collecting information about other Users without authorization;
• Infringing upon intellectual property rights of the Company or any third party;
• Violating any applicable local, state, national, or international law;
• Transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

6. Intellectual Property Rights

6.1 Company Ownership

The Service and all Content, including but not limited to text, graphics, logos, images, software, source code, and compilation thereof, are the exclusive property of the Company or its licensors and are protected by Indian and international copyright, trademark, patent, and other intellectual property laws.

The trademarks, service marks, and logos ("Marks") displayed on the Website are the registered and unregistered Marks of the Company. Nothing in these Terms grants you any right, title, or interest in such Marks.

6.2 User-Submitted Content

By submitting content to the Service (including resumes, cover letters, demo request messages, or other materials), you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, process, adapt, and display such content solely for the purposes of:

• Evaluating job applications and conducting the recruitment process;
• Processing and responding to demo requests;
• Complying with legal obligations and enforcing these Terms.

You represent and warrant that you own or have the necessary rights to submit such content and that such content does not infringe the intellectual property rights of any third party.

6.3 Restrictions on Use

Except as expressly authorized by these Terms, you may not:

• Copy, reproduce, distribute, modify, or create derivative works of the Content;
• Reverse engineer, decompile, or disassemble any software or technology underlying the Service;
• Remove or alter any copyright, trademark, or other proprietary notices;

8. Demo Requests and Sales Process

Submission of a demo request through the Website does not create a binding contract or obligation on either party. Demo requests are:

• Non-Binding: Neither party is obligated to proceed with a product demonstration or enter into a service agreement.
• Subject to Review: The Company reserves the right to decline demo requests in its sole discretion.
• No Guaranteed Response Time: While we endeavor to respond promptly, we do not guarantee any specific response timeframe.

Pricing information and service agreements are subject to negotiation and execution of separate written agreements. Any pricing discussed during demonstrations is subject to change and does not constitute a binding offer.

9. Job Applications and Recruitment

Submission of a job application through the career portal does not create an employment relationship. The Company:

• Makes no guarantee that submitted applications will result in an interview or employment offer;
• Reserves the right to reject applications without providing reasons;
• May retain application materials for consideration for future opportunities, subject to your consent and our Privacy Policy;
• Will store resume files on Amazon Web Services S3 with appropriate security measures.

10. Rate Limiting and Access Control

To maintain Service quality and prevent abuse, the Company enforces the following rate limits:

• Demo Requests: Five (5) requests per hour per IP address;
• Job Applications: Ten (10) submissions per hour per IP address.

The Company reserves the right to:

• Block or restrict access from IP addresses that violate rate limits;
• Suspend or terminate access for Users who engage in abusive behavior;
• Modify rate limits at any time without notice.

11. Disclaimer of Warranties and Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES REGARDING ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE;
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
• WARRANTIES REGARDING THE RESULTS OBTAINED FROM USE OF THE SERVICE.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES;
• SERVICE INTERRUPTIONS, DOWNTIME, OR DATA LOSS;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• ERRORS OR OMISSIONS IN CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE.

THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED INDIAN RUPEES (INR 100), OR (B) THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, the Company's liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

The Company utilizes Amazon Web Services (AWS) for file storage. AWS is subject to its own terms of service and privacy policies. By uploading files to the Service, you acknowledge and agree that such files will be stored on AWS infrastructure.

You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any third-party content, goods, or services.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The Information Technology Act, 2000 and all applicable Indian data protection and privacy legislation shall apply.

15.2 Jurisdiction and Venue

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the courts located in Gujarat, India. You irrevocably submit to the jurisdiction of such courts and waive any objection to venue in such courts.

15.3 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue available legal remedies.

16. Modifications to Terms

The Company reserves the right to modify or replace these Terms at any time, in its sole discretion. Material changes will be communicated through:

• Email notification to the email address associated with your demo request or job application;
• Prominent notice on the Website;
• Updated "Last Updated" date at the top of these Terms.

Changes become effective immediately upon posting unless otherwise specified. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must discontinue use of the Service.

It is your responsibility to review these Terms periodically for changes. The Company recommends checking this page regularly to remain informed of our terms and conditions.

18. General Provisions

18.2 Waiver

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18.3 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by the Company on the Website, constitute the entire agreement between you and the Company regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

18.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without the Company's prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. The Company may freely assign or transfer these Terms. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and assigns.

The Company shall not be liable for any failure to perform its obligations under these Terms where such failure results from causes beyond the Company's reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
