Trilegal Advises Caelux on Solar Glass Supply Agreements with Indian Firms
Trilegal has advised Caelux Corporation, a US-based clean energy innovator, on two five-year master supply agreements entered into with Indian solar manufacturers Rayzon Solar and Navitas Solar. The agreements entail the supply of proprietary energy-producing solar glass for the production of hybrid tandem photovoltaic (PV) modules with 28% efficiency in India.
The combined manufacturing capacity under the agreements is 10 gigawatts (GW), marking a significant collaboration in India’s renewable energy value chain. The transaction supports India's energy transition goals under the National Solar Mission and aligns with production-linked incentive (PLI) schemes for domestic solar manufacturing.
The legal framework involved cross-border contract negotiation, technology transfer provisions, quality assurance clauses, dispute resolution mechanisms, and compliance with foreign exchange management regulations under FEMA, 1999. The agreements also factored in import duties, logistics, and customs clearances for high-tech components.
For practitioners, this deal reflects the increasing involvement of international technology providers in India’s green manufacturing ecosystem and the growing complexity of supply chain structuring in the renewable sector under evolving policy frameworks.
