SEBI Consolidates Debenture Trustee Framework

On September 28, 2026, SEBI released a comprehensive Master Circular for Debenture Trustees, consolidating all applicable guidelines, circulars, and regulatory instructions as of that date. The new circular rescinds the previous consolidation issued on August 13, 2025, and serves as a single-source reference for debenture trustees, addressing appointment, duties, monitoring, disclosures, and conflict of interest norms under the SEBI (Debenture Trustees) Regulations, 1993.

The Master Circular includes updated requirements on periodic reviews of issuer performance, escalation mechanisms for defaults, and obligations in distressed debt scenarios. It also incorporates recent amendments relating to digital reporting and oversight in private placements.
