RBI APR Filing: Who Must Comply, Deadline & Audit Rules

RBI annual performance reporting (APR) applies to Indian entities with overseas investments; filings require audit confirmation and are due by June 30.

Annual Performance Reporting Under FIRS Regulations

Indian residents with overseas direct investments under the Foreign Exchange Management (Overseas Investment) Regulations must file an Annual Performance Report (APR) with their Authorised Dealer bank. The filing deadline is 30 June each year, covering financial year performance of the foreign entity.

The APR must include financials, capital movement data, and end-use confirmation, certified by a chartered accountant or company auditor. Late filings attract scrutiny and may trigger due diligence under FEMA. Form APR is part of the Foreign Investment Reporting and Monitoring System (FIRMS).

Practitioners must advise clients with joint ventures, subsidiaries, or LLPs abroad to maintain audited records and initiate APR process early. Non-compliance risks delays in future overseas remittances or penalties under FEMA, though no formal late fee is prescribed.
